1. Grant of License

Lilifolia Ltd (“Licensor”) grants the user (“Licensee”) a limited, non-exclusive, non-transferable, revocable license to install and use this software and its associated files (“Software”) solely for internal, non-commercial purposes, unless a separate written agreement authorizing commercial use is obtained from Lilifolia Ltd.

2. Restrictions

Except where expressly permitted in a separate written agreement signed by an authorized representative of Lilifolia Ltd, the Licensee may not:

  • Copy, reproduce, or distribute the Software in any form.
  • Sell, lease, sublicense, rent, or otherwise commercialize the Software.
  • Modify, translate, adapt, create derivative works of, or reverse-engineer the Software.
  • Publish, upload, or make the Software available to any third party.
  • Remove or alter any copyright, trademark, or other proprietary notices.

All rights not expressly granted to the Licensee remain the exclusive property of Lilifolia Ltd.

3. Ownership

The Software is licensed, not sold. Lilifolia Ltd retains all intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, and all other proprietary rights in and to the Software.

4. Updates and Modifications

Only Lilifolia Ltd may update, modify, maintain, publish, or distribute the Software or any derivative versions of it.

5. Termination

This license automatically terminates if the Licensee breaches any term of this agreement. Upon termination, the Licensee must immediately cease all use of the Software and delete all copies in their possession.

6. Disclaimer of Warranty

The software is provided “as is,” without warranty of any kind, express or implied. Lilifolia Ltd disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the maximum extent permitted by law, Lilifolia Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or business opportunities, arising from or related to the use or inability to use the software.

8. Governing Law

This license shall be governed by and construed in accordance with the laws of the jurisdiction in which Lilifolia Ltd is legally established, without regard to conflict-of-law principles.
